Corporate Name Endings
The name must contain the word "Corporation," "Incorporated," "Company," or an abbreviation thereof, or words or abbreviations with the same meaning in another language. It must be distinguishable from the name of any domestic corporation, authorized foreign corporation, domestic or foreign limited liability company or partnership, or reserved or registered name in the state of Utah.
Corporation Requirements
  • Director Information
    • Minimum Number - Not less than three, unless there are only one or two shareholders of record; then the number of directors may be less than three but not less than the number of shareholders.
    • Residence Requirements - No provision.
    • Age Requirements - Directors must be a natural person at least 18 years of age.
    • Directors are not required to be listed in the articles of incorporation.

  • Officer Information
    • Officers are not required to be listed in the articles of incorporation.

  • Stock Information
    • An increase in shares or par value does not affect initial filing fees.

  • Corporate Records
    • The articles of incorporation, bylaws, minutes of all shareholders' meetings, records of actions taken without meeting for the past three years, the names and addresses of current directors and officers, the most recent annual report, and financial statements prepared for periods ending during the last three years must be kept at the principal office of the corporation.
Tax and Fees
  • Annual Statements
    • An Application for Renewal must be filed with the Division of Corporations and Commercial Code no later than the end of the second month following the month in which the report form is mailed by the Division. The annual report fee is $10.

  • Income Tax Rate
    • The tax rate is 5% of net income. The minimum tax is $100.

  • S Corporation
    • S Corporation status is recognized by the State of Utah. A separate state election from the federal election is not required.

  • License Requirements
    • Utah requires most businesses to obtain a license and pay a fee if operating in the state. Please check with the state to make sure your business is complying with the license requirements for your particular profession.
