The name must contain the word "Corporation,"
"Incorporated," "Limited," "Company," or an abbreviation thereof.
It must be in the English language or any other language expressed
in English letters or characters. It may not contain words implying
it is incorporated for a purpose other than business for which
a company may be incorporated. The name may not be the same
as, or deceptively similar to, the name of a domestic or foreign
corporation, limited liability company, limited partnership,
reserved name, registered fictitious name, or trade name, unless
consent is given.

Residence Requirements - No provision.
Age Requirements - Directors must be a natural person
at least 18 years of age.
Directors are required to be listed in the articles
of incorporation.
Officer Information
Officers are not required to be listed in the articles
of incorporation.
Stock Information
An increase in the shares may cause an increase in
initial filing fees.
Corporate Records
A shareholder list and minutes of shareholders' meetings
must be kept at the registered office or principal office
of the corporation.
Tax and Fees
Annual Statements
Domestic corporations and foreign corporations authorized
to transact business in North Dakota must file an annual
report with the Secretary of State by May 15th. The
filing fee is $25.
Income Tax Rate
Taxes are assessed on taxable income at the rate
of 3% for the first $3,000; 4.5% of the next $5,000;
6% of the next $12,000; 7.5% of the next $10,000; 9%
of the next $20,000; and 10.5% of any income that exceeds
$50,000.
S Corporation
S Corporation status is recognized by the State of
North Dakota. A separate state election from the federal
election is not required.
License Requirements
North Dakota requires most businesses to obtain a
license and pay a fee if operating in the state. Please
